These Terms of Use (the "Terms") govern your access to and use of the website located at www.skedara.com and its sub-domains (the "Website"), operated by Skedara Technology Private Limited, a company incorporated in India with its registered office at 3rd and 4th floor, Jupiter Block, Prestige Tech Park, Kadubeesanahalli, Bengaluru, Karnataka, India - 560037 ("Skedara", "we", "us" or "our").

By accessing or using the Website, you agree to be bound by these Terms and by the documents referenced in them, including our Privacy Policy and Cookies Policy. If you do not agree, you must not access or use the Website.

1. Eligibility

The Website is intended for use by business users who are at least 18 years of age and who have the legal capacity to enter into binding contracts under the laws of their jurisdiction. By using the Website, you represent and warrant that you meet these requirements and that any information you submit is true, accurate and complete.

2. Permitted use of the Website

Subject to your compliance with these Terms, Skedara grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Website for your personal or internal business purposes. You may view, download and print content from the Website for these purposes, provided that you do not modify the content and that you retain all copyright and other proprietary notices.

3. Prohibited uses

You agree not to:

  • Use the Website in any way that violates applicable law or regulation, or that infringes the rights of any person or entity.
  • Access, attempt to access or use any part of the Website that you are not authorised to access.
  • Probe, scan, test the vulnerability of, or breach the security of the Website or any related system.

  • Use the Contact form or the Website to transmit unsolicited or unauthorised advertising, promotional materials or any other form of solicitation.

4. Intellectual property

The Website and all content, features and functionality made available on it (including text, graphics, logos, icons, images, audio, video, software, code and the selection, arrangement and design of the foregoing) are owned by Skedara or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret and other intellectual property laws.

"Skedara", the Skedara wordmark and any associated logos are trademarks of Skedara Technology Private Limited. No licence to use any Skedara trademark is granted by these Terms. Third-party names and marks referenced on the Website are the property of their respective owners.

Except for the limited licence granted in Section 2, no rights or licences are granted to you by these Terms, whether by implication, estoppel or otherwise.

5. Submissions and feedback

If you submit any comments, ideas, suggestions, feedback or other information through the Website (collectively, "Submissions"), you agree that the Submissions are non-confidential and that Skedara may use, copy, distribute, modify and create derivative works of the Submissions for any lawful business purpose, without payment or attribution. You represent that you have all rights necessary to make the Submission and that it does not infringe the rights of any third party.

6. Third-party links and resources

The Website may contain links to third-party websites, applications, services or resources that are not owned or controlled by Skedara. We provide these links for convenience only. We do not endorse, monitor or assume responsibility for the content, privacy practices or other policies of any third party. You access third-party resources at your own risk and subject to their terms.

7. Information about our services

Information on the Website about our services, capabilities, case studies, methodologies and engagements is provided for general informational purposes only and does not constitute an offer to provide services. Any engagement with Skedara is governed by a separate written agreement (such as a Master Services Agreement or Statement of Work). In the event of any conflict between content on the Website and a signed agreement, the signed agreement prevails.

8. Disclaimers

The Website and all content made available on it are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, Skedara disclaims all warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and any warranties arising from a course of dealing or usage of trade.

Without limiting the foregoing, Skedara does not warrant that the Website will be uninterrupted, error-free, secure or free of viruses or other harmful components, or that any content on the Website is accurate, complete or current. You are responsible for taking your own precautions to protect your systems and data.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Skedara, its affiliates, directors, officers, employees, agents or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, business, goodwill or anticipated savings, arising out of or in connection with your access to or use of the Website, whether based in contract, tort (including negligence), strict liability or any other legal theory, and whether or not Skedara has been advised of the possibility of such damages.

Skedara's total cumulative liability arising out of or in connection with the Website shall not exceed INR 10,000 (Indian Rupees Ten Thousand) or its equivalent in your local currency.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

10. Indemnification

You agree to indemnify, defend and hold harmless Skedara, its affiliates, directors, officers, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Website in breach of these Terms; (b) your violation of applicable law; or (c) your infringement of any third-party right.

11. Termination and suspension

Skedara may suspend or terminate your access to the Website at any time, with or without notice, for any reason or for no reason, including if we believe you have breached these Terms. On termination, the licence granted to you under Section 2 ends immediately. Sections that by their nature should survive termination (including Sections 4, 5, 8, 9, 10, 12, 13 and 14) will survive.

12. Changes to the Website and to these Terms

Skedara may modify, suspend or discontinue all or any part of the Website at any time without notice or liability. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide notice on the Website. Your continued use of the Website after the changes take effect constitutes your acceptance of the updated Terms.

13. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them or their subject matter or formation (including non-contractual disputes and claims) are governed by and shall be construed in accordance with the laws of India, without regard to its conflict of laws principles.

Subject to any applicable mandatory law, you agree that the courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction to settle any such dispute. Nothing in this Section limits our right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

14. General

  • Entire agreement. These Terms, together with the Privacy Policy and Cookies Policy, constitute the entire agreement between you and Skedara regarding the Website and supersede any prior agreements between you and Skedara on this subject matter.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a corporate transaction or to an affiliate.
  • No agency. Nothing in these Terms creates any agency, partnership, joint venture or employment relationship between you and Skedara.
  • Force majeure. Skedara will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control.
